Welcome to HyperCalls. These Terms of Service ("Terms") constitute a legally binding agreement between HyperCalls, LLC ("HyperCalls", "we", "us", or "our") and you ("Customer", "User", or "you") governing your access to and use of https://hypercalls.ai and our software platforms (the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

1. Account Registration & Eligibility

  • Eligibility: You must be at least 18 years old and possess the legal capacity to enter into these Terms.
  • Account Security: You are responsible for safeguarding your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

2. Subscriptions, Payments & Cancellation

  • Subscription Billing: Access to certain features of the Services is provided on a recurring subscription basis (monthly or annually).
  • Payment Processing: Payment transactions are processed via our authorized third-party payment processor, Stripe. By subscribing, you authorize HyperCalls, through Stripe, to securely charge your designated payment method for all subscription fees, applicable taxes, and usage-based charges.
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle at the then-current subscription rate unless cancelled prior to renewal.
  • Cancellation: You may cancel your subscription at any time directly through your account dashboard or by emailing paul@hypercalls.ai. Cancellation will take effect at the conclusion of your current billing period.
  • Refund Policy: All fees are non-refundable except as required by applicable law or as expressly agreed upon in writing.

3. Telecommunications & No Emergency Services

  • No Emergency Calling: HYPERCALLS DOES NOT PROVIDE 911 OR EMERGENCY TELEPHONE SERVICES. THE SERVICES CANNOT BE USED TO CONTACT POLICE, FIRE, MEDICAL, OR ANY OTHER EMERGENCY PERSONNEL. You must maintain alternative traditional phone access for emergency calling.
  • Compliance with Laws: You agree to use our communication services in strict compliance with all applicable federal, state, and international telecommunications laws, including the Telephone Consumer Protection Act (TCPA) and telemarketing regulations.
  • Call Recording & Consent: If you record or transcribe telephone conversations using our Services, you are solely responsible for providing all required legal disclosures and obtaining all necessary consents from all call participants in compliance with applicable call-recording and wiretapping laws.

4. Intellectual Property & Proprietary Rights

  • Ownership: HyperCalls, LLC retains all right, title, and interest in and to the Services, including all software, source code, designs, algorithms, documentation, and brand assets.
  • Copyright Notice: Copyright © 2026 HyperCalls, LLC. All rights reserved.
  • Trademarks: HyperCalls™ and the HyperCalls logo are trademarks of HyperCalls, LLC. You may not use our trademarks without prior written permission.
  • Customer Content: You retain ownership of all data, contact lists, and audio content you submit to the Services. You grant HyperCalls a limited, non-exclusive license to use your content solely as necessary to provide and operate the Services.

5. AI Features & Output Disclaimers

The Services utilize artificial intelligence technology. You acknowledge that AI-generated responses and voice interactions are provided for informational and business support purposes, and you remain responsible for overseeing and validating automated outputs generated on your behalf.

6. Limitation of Liability & Disclaimers

  • Warranty Disclaimer: THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
  • Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPERCALLS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR REVENUE. OUR AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO HYPERCALLS IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

7. Indemnification

You agree to indemnify, defend, and hold harmless HyperCalls, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights or applicable laws.

8. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in St. Louis County, Missouri.
